Terms of Service

1. What RA Buddy Is

RA Buddy is a technology marketplace platform. We provide the infrastructure — hosting, payment processing, subscription management, and content delivery — that allows independent third parties (“Content Creators”, “Analysts”, “Experts”) to publish and sell content, subscriptions, courses, and communication services related to financial markets to users (“Subscribers”, “you”).

RA Buddy is not:

• A SEBI-registered Investment Adviser (IA) or Research Analyst (RA);
• A broker, sub-broker, portfolio manager, or financial intermediary of any kind;
• A party to the advisory relationship (if any) between a Content Creator and a Subscriber;
• A guarantor, verifier, or curator of investment returns, tips, or recommendations.

RA Buddy does not itself provide investment advice, stock recommendations, or research reports. Any such content is created, owned, and published solely by the Content Creator.

2. Eligibility

You must be at least 18 years old and legally competent to contract under the Indian Contract Act, 1872, to use the Services. By using RA Buddy, you represent that you meet these requirements.

3. Content Creators

3.1 Onboarding. RA Buddy allows a range of Content Creators to list on the Platform, including:

• SEBI-Registered Research Analysts (RAs) and SEBI-Registered Investment Advisers (IAs), whose registration status is displayed on their profile as described in Section 3.2; and
• Other creators (e.g., market educators, commentators, technical analysis trainers) who are not SEBI-registered.

Where a Content Creator is not SEBI-registered, their content must be, and is represented to you as, educational/informational in nature only, and must not include specific “buy/sell/hold” recommendations on identifiable securities in exchange for a fee, in line with applicable SEBI regulations. RA Buddy requires all Content Creators to self-certify their registration status and to represent that their content complies with applicable law. RA Buddy does not independently verify the legality of each piece of content published.

3.2 SEBI Registration Display. Where a Content Creator claims SEBI registration, RA Buddy will display the registration number/type as submitted by the Content Creator. This display is for informational convenience only and does not constitute verification by RA Buddy. You are responsible for independently verifying any registration at sebi.gov.in or via the SEBI SCORES/intermediary lookup before subscribing.

3.3 Independence of Content. Content Creators operate independently of RA Buddy. Their opinions, tips, research, courses, and communications are their own and do not represent the views of RA Buddy. RA Buddy does not review, edit, approve, or endorse Content Creator material before or after publication, except where required to remove content that violates these Terms or applicable law.

3.4 Creator Obligations. Content Creators agree that they:

• Will comply with all applicable laws, including SEBI (Research Analysts) Regulations, 2014, SEBI (Investment Advisers) Regulations, 2013, and any SEBI circulars governing digital/social media advice and finfluencer conduct;
• Will not make guaranteed or assured return claims;
• Will not impersonate SEBI registration or misrepresent qualifications;
• Are solely responsible for the accuracy, legality, and suitability of their content and recommendations;
• Will bear sole liability for any regulatory action, investor complaint, or loss arising from their content.

RA Buddy reserves the right to suspend or remove any Content Creator or listing at its sole discretion, including for suspected regulatory non-compliance, without being obligated to do so and without this creating any liability on RA Buddy’s part for content it has not yet reviewed or removed.

4. Subscribers

4.1 Nature of the Relationship.When you subscribe to or purchase content from a Content Creator, you are entering into a relationship directly with that Content Creator. RA Buddy’s role is limited to facilitating discovery, payment, and delivery of that content.

4.2 No Investment Advice from RA Buddy. Nothing on the Platform, including any listing, ranking, rating, review, or promotional material, constitutes investment advice from RA Buddy. You must exercise independent judgment, and are strongly encouraged to consult a SEBI-registered Investment Adviser before making investment decisions.

4.3 Your Responsibilities. You agree that:

• You will independently verify the SEBI registration and credentials of any Content Creator before relying on their content;
• Investment/trading decisions made based on any content are made entirely at your own risk;
• You will not hold RA Buddy responsible for losses, missed gains, or damages arising from your reliance on any Content Creator’s content;
• You will report any suspected fraudulent, misleading, or unregistered advisory activity to RA Buddy and, where relevant, to SEBI directly via SCORES.

5. Payments & Subscriptions

• All payments for Content Creator subscriptions/services are processed through RA Buddy’s designated payment gateway partners.
• RA Buddy (or its payment partner) may collect a platform/commission fee from Content Creators; this does not make RA Buddy a party to, or guarantor of, the advisory content.
• Subscription terms (duration, auto-renewal, pricing) are set by the Content Creator and displayed at the point of purchase.
• Refunds are governed by our separate Refund & Cancellation Policy.

6. Prohibited Conduct

You (whether Subscriber or Content Creator) agree not to:

• Use the Platform for any unlawful purpose, including circulation of unregistered investment advice, pump-and-dump schemes, or market manipulation;
• Guarantee or promise fixed/assured returns;
• Misrepresent SEBI registration or credentials;
• Upload content that is defamatory, fraudulent, or infringes third-party rights;
• Attempt to circumvent Platform payments (e.g., soliciting off-platform payment to evade fees) — such transactions fall entirely outside RA Buddy’s Terms and protections.

7. Intellectual Property

Content published by Content Creators remains their own intellectual property unless otherwise agreed. The RA Buddy name, logo, and platform software are the property of Rabuddy Fintech and may not be used without permission.

8. Disclaimers & Limitation of Liability

See our full Disclaimer page, which is incorporated into these Terms by reference. In summary:

• RA Buddy provides the Platform on an “as-is” and “as-available” basis;
• We make no warranty regarding the accuracy, completeness, legality, or profitability of any Content Creator’s content;
• To the maximum extent permitted by law, RA Buddy’s aggregate liability for any claim arising from use of the Platform is limited to the platform fee (if any) paid by you to RA Buddy directly in the preceding three months, and excludes any amount paid to a Content Creator;
• RA Buddy is not liable for indirect, incidental, consequential, or punitive damages, including trading/investment losses.

Nothing in this section limits liability that cannot be excluded under Indian law, including in cases of RA Buddy’s own fraud or willful default.

9. Indemnification

You agree to indemnify and hold harmless Rabuddy Fintech, its designated partners, employees, and affiliates from claims, losses, or damages arising from: (a) your breach of these Terms; (b) content you publish (if a Content Creator); or (c) your investment decisions made in reliance on third-party content.

10. Grievance Redressal

For complaints regarding Platform functionality, billing, or Content Creator conduct, contact our Grievance Officer:

Complaints specifically about SEBI-registered intermediaries’ advisory conduct should also be filed on SEBI SCORES: scores.sebi.gov.in.

11. Termination

RA Buddy may suspend or terminate your account for violation of these Terms, at its sole discretion, with or without notice.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Jaipur, Rajasthan, India shall have exclusive jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
